Terms & Conditions for Video Spokesperson and/or Presentation Explainer Video Production a.k.a. Service Agreement
WHEREAS, Laser Stream Video wishes to provide certain services as set forth herein, and made a part hereof; and
WHEREAS, Client wishes to procure services from Laser Stream Video, for good and valuable consideration, as more fully described in the order form and made a part hereof.
1. SCOPE OF WORK.
(a) Laser Stream Video agrees to provide the services described in the order form or herein.
(b) This Service Agreement does not transfer any rights or permissions for Client to duplicate, alter or remove code or content from Laser Stream Media, Inc. servers or equipment without express written permission from Laser Stream Media, Inc.
(c) Client acknowledges that streaming video is new technology. While Laser Stream Video makes every effort to ensure streamed videos will play a majority of the time, Client further acknowledges that Laser Stream Video has informed Client that certain computers or servers and their related hardware, software and connection speeds may not be compatible with video streaming technology. While our technology works on most servers, Laser Stream Video makes no warranties, express or implied, as to the performance of video content on servers other than those of Laser Stream Video.
(d) Laser Stream Video will make reasonable effort to match wardrobe requests for colors and style from its existing wardrobe collection. However, Laser Stream Video does not guarantee an exact match for requested wardrobe styles or colors. Some special requests may require additional fees.
(e) Unless otherwise specified in writing from Laser Stream Video, no rights or permissions are granted to alter the delivered final video, use images from the video in marketing, or use the video in any non-internet mediums, i.e. TV, DVD, Trade Shows, etc.
(f) Premium Talent has a 12-month usage limit, which can be extended for an additional fee. Exceptions are available in some cases, and must be provided in writing by Laser Stream Media, Inc.
2. TERM / TERMINATION.
This Agreement shall also serve as a blanket agreement for future services requested by Client, that are not presently included in the order form, or herein. As it relates to subscription and/or lead generation products, this Agreement shall remain in effect on a month-to-month basis, and may be terminated by either party upon 60 days written notice by either executor of this Agreement. If Client executor is no longer employed by Client, written notice must be provided by client ownership. In event of any such termination, Laser Stream Video shall be paid for any delivered Services and any other arrangements within this Agreement, including payment for the notice period. Laser Stream Video reserves the right to immediately terminate service and future billing if it appears Client is using video for purposes that could expose Laser Stream Video to litigation.
3. PAYMENT FOR SERVICES.
Client agrees to pay Laser Stream Video in accordance with the Fees set forth within the order. Laser Stream Video shall submit to Client an itemized monthly invoice for services to be rendered. Payment for video production must be received in full prior to Services being rendered.
4. INDEPENDENT CONTRACTOR.
Laser Stream Video shall perform all Services hereunder as an independent contractor, and nothing contained herein shall be deemed to create any association, partnership, joint venture or relationship of principal and agent, or employer and employee between the parties hereto or any affiliates thereof.
5. INDEMNIFICATION.
Client has created or approved all video content, and hereby agrees to indemnify and hold harmless Laser Stream Media, Inc., its officers, employees or assigns from any actions at law resulting from video content or claims made therein. Signer agrees to fully and completely indemnify and hold Michael Parsons, Laser Stream Media, Inc, their officers, agents and employees completely and totally harmless from any liability, loss or damage, economic or otherwise, they may suffer as a result of claims, demands, costs or judgments against them arising out of use and expectations by Signer of the use of and results obtained from the work content on Signer's web page (including but not limited to development and promotion of Signer's web page and any effect Signer's web page may or may not have on Signer's own business including infringement of other parties' intellectual property rights) submitted and performed by Michael Parsons, and Laser Stream Media, Inc. under this Agreement.
6. GOVERNING LAW.
The law of the State of Georgia will govern any dispute about this Agreement, including any interpretation or enforcement of this Agreement.
